Terms of Service

These Terms of Service govern your access to and use of FanFinds, a creator-to-fan marketplace operated by MDC Ventures LLC ("FanFinds," "we," "us," or "our"). By creating an account, browsing listings, placing a bid, purchasing an item, listing an item, or otherwise using the platform, you agree to be bound by these Terms and our Privacy Policy.

If you do not agree, do not use FanFinds. If you use FanFinds on behalf of a business or other entity, you represent that you have authority to bind that entity to these Terms.

• You must be at least 18 years old to use FanFinds.
• FanFinds is currently offered only to users in the United States, and buying, selling, shipping, and payouts are limited to U.S. users, U.S. addresses, and U.S.-based payment details.
• By using FanFinds, you acknowledge and consent that listings may include mature or suggestive material intended for adults.
• You must provide accurate registration, contact, shipping, and payment information and keep it current.
• We may require identity, tax, address, or business verification for sellers, and may display or disclose legally required seller details to users or authorities to comply with marketplace laws and fraud controls.
• You are responsible for activity that occurs under your account and for maintaining the confidentiality of your credentials.
• You may not impersonate another person, create deceptive usernames, or create multiple accounts to evade enforcement or manipulate platform activity.
• We may suspend, restrict, or terminate accounts that violate these Terms, create risk for users, processors, carriers, or regulators, or expose FanFinds to fraud, loss, or legal liability.

FanFinds is a marketplace that facilitates transactions between users. FanFinds is not the manufacturer, owner, consignor, or merchant of record for user-listed goods unless expressly stated otherwise. Sellers, not FanFinds, are responsible for the content, legality, authenticity, safety, condition, packaging, and shipment of their items.

FanFinds may hold, route, or delay funds through payment service providers and may enforce shipment, tracking, moderation, dispute, and payout rules. Depending on payment provider configuration, FanFinds or its payment partners may appear on statements or receipts for processing purposes. These operational controls do not make FanFinds the owner or direct seller of user-listed items.

• Sellers may create public listings or private link-only listings. Private listings are hidden from general marketplace surfaces but remain subject to these Terms.
• Sellers must have the legal right to sell each listed item and must accurately describe title, condition, provenance, and any material defects.
• Sellers may not list counterfeit items, stolen items, illegal goods, recalled goods, hazardous materials, prohibited carrier items, weapons, drugs, bodily fluids, unlawful adult material, or items involving minors, coercion, or non-consensual conduct.
• Sellers may not list items that violate payment processor, bank partner, or card network rules applicable to the platform.
• FanFinds may remove, hide, age-gate, restrict, or reject any listing at our sole discretion, including listings that are intimate, fetish-adjacent, high-risk, misleading, unsafe, offensive, or incompatible with our processors, carriers, insurers, or business policies.
• Listing photos and descriptions must be truthful and must not infringe third-party intellectual property or privacy rights.
• Sellers are responsible for choosing a reasonable shipping estimate profile and for packaging the actual shipment consistently with the item sold.

• Auction bids are binding offers. If you submit the winning bid, you agree to pay the full amount displayed by the platform at checkout, including applicable shipping and tax.
• Fixed-price purchases and buy-now actions are binding commitments to purchase.
• Special requests and listing offers are negotiation tools. Unless explicitly stated otherwise, requests and offers are not final sales until checkout is successfully completed through FanFinds.
• If a seller accepts a buyer offer, FanFinds may show that buyer a private accepted price for that listing.
• FanFinds may apply anti-sniping protections, minimum increments, reserve logic, and auction extensions according to platform rules.
• You may not manipulate auctions or listings through shill bidding, self-dealing, bid suppression, fake engagement, collusion, or any deceptive conduct.
• You may not use offers, special requests, private links, or other platform tools to bypass FanFinds checkout, fees, dispute handling, moderation controls, or payment processor requirements.
• Private listing links are intended only for the recipients chosen by the seller. FanFinds does not guarantee that a private link will remain confidential if a user shares it with others.
• Private listings remain fully subject to these Terms and may not be used to circumvent platform rules, payment processor requirements, or applicable law.

By using FanFinds, you acknowledge the nature of a creator-to-fan marketplace that may include intimate, mature, or otherwise sensitive physical goods and interactions. You assume the risks associated with browsing, listing, bidding on, purchasing, shipping, or receiving items through the platform, including risks of disappointment, offense, delay, nonconformity, dispute, or content you consider explicit, except to the extent applicable law does not permit those risks to be allocated by contract. FanFinds does not endorse, verify, or guarantee the nature, quality, legality, or appropriateness of any user-listed item.

FanFinds uses third-party payment providers, including Stripe and Stripe Connect, to process buyer payments, store payment methods, onboard sellers, and route payouts. By using FanFinds, you also agree to any applicable third-party payment terms.

FanFinds is not a bank, money transmitter, or escrow company, and the platform's hold-and-release workflow should not be interpreted as a representation that FanFinds offers licensed escrow services. We may hold, delay, deny, offset, or reverse funds through third-party providers for fraud, compliance, dispute, chargeback, shipping, operational, or legal reasons.

• Buyers may be required to maintain a valid card on file before bidding or purchasing.
• Displayed totals may include item price, shipping, taxes, and any other charges shown at checkout.
• FanFinds currently charges a platform fee on completed transactions and may change fees prospectively. Fee allocation can vary by product flow and will be reflected in checkout or seller payout calculations.
• FanFinds may calculate, collect, or facilitate applicable taxes where required or operationally supported. Users remain responsible for their own tax reporting and compliance unless applicable law provides otherwise.
• We may use automated systems and third-party signals to assess fraud and risk.
• If payment authorization, fraud review, compliance review, or processor controls fail, FanFinds may cancel or delay the transaction.

• Sellers must generate shipping labels through the workflow FanFinds provides when required by the platform.
• Sellers must ship only the item sold, using accurate shipment information and tracking. FanFinds may require verified tracking before payout eligibility begins.
• For paid orders, sellers are expected to obtain valid carrier tracking within the shipment window displayed by FanFinds (currently targeted at 72 hours unless the platform states otherwise).
• For shipping and payout controls, valid tracking means a carrier-accepted tracking number that shows initial scan, acceptance, or equivalent first carrier event.
• Shipping quotes shown at checkout are estimates derived from the listing and shipment data available at the time. Actual carrier charges may vary.
• FanFinds does not guarantee delivery, transit times, or carrier performance.
• If tracking does not become valid within the applicable shipment window, FanFinds may cancel the order and issue a buyer refund.
• If FanFinds detects repeated inaccurate shipment estimates, package misstatements, or fulfillment issues, we may suspend listings, delay payouts, restrict seller access, or take other enforcement action.
• Unless FanFinds expressly offers a return workflow for a particular order or dispute resolution, all sales are final except where required by applicable law or as determined by FanFinds through our dispute process.

FanFinds uses a controlled payout flow designed to reduce fraud and chargeback risk. Seller payouts may be held until delivery is confirmed, the dispute window expires, and all other platform conditions are satisfied. This hold-and-release workflow is an operational control and not a representation that FanFinds offers licensed escrow services unless expressly stated otherwise.

• Buyers may be able to open limited disputes within the timeframe displayed by FanFinds.
• For most orders, the dispute window is expected to be approximately 72 hours after confirmed delivery unless the platform states otherwise.
• FanFinds may investigate disputes and make determinations in its sole and reasonable discretion based on the information available to us.
• FanFinds may also react to processor or card-network disputes, including chargebacks and payment reversals initiated outside the platform.
• If a buyer dispute, chargeback, fraud alert, or compliance concern arises, FanFinds may freeze, delay, offset, reverse, or deny payout to the seller as permitted by law and our payment processor arrangements.
• FanFinds may refund buyers in full or in part, including shipping and tax where appropriate, and may cancel or unwind transactions where necessary to protect users or the platform.

• Users may be permitted to leave ratings or reviews tied to transactions. Reviews must be honest, relevant, and non-defamatory.
• You may not post fake reviews, purchased reviews, undisclosed incentivized reviews, or manipulated ratings, and you may not impersonate buyers or sellers in reviews or testimonials.
• FanFinds may provide offer and special-request workflows between buyers and sellers. These tools may be limited, moderated, or disabled at any time.
• You may not use FanFinds communication features for harassment, coercion, sexual exploitation, off-platform payment solicitation, or policy circumvention.
• FanFinds may provide in-app messages, email notices, transactional communications, and security or compliance notifications.
• You consent to receive electronic communications relating to account security, verification, transactions, shipping, disputes, moderation, and legal notices.
• If FanFinds sends non-essential marketing communications, you may opt out at any time through available unsubscribe mechanisms. Transactional, security, legal, and account communications may still be sent as needed to operate the service.

As between FanFinds and users, you retain ownership of content you submit to the platform, subject to the rights you grant below. By uploading or posting content, you grant FanFinds a worldwide, non-exclusive, royalty-free license to host, display, reproduce, adapt, moderate, and use that content to operate, improve, market, and protect the platform.

You represent that you have all rights needed to submit the content and that the content does not violate law or third-party rights. FanFinds reserves the right to remove content and respond to intellectual property complaints, including DMCA notices.

If you believe content on FanFinds infringes your copyright, you may send a DMCA notice to legal@fanfinds.com with sufficient detail to identify the work claimed to be infringed, the allegedly infringing material, your contact information, a good-faith statement, and a statement made under penalty of perjury that you are authorized to act. Users who believe content was removed in error may submit a counter-notice with legally required information. FanFinds may forward notices and counter-notices to the relevant parties and act in accordance with applicable law.

• FanFinds may review listings, transactions, disputes, reports, identity signals, shipment data, and account activity to enforce platform integrity.
• We may refuse service, remove listings, cancel transactions, reverse access, hold funds, require additional information, or permanently ban users in our discretion.
• We may take action to satisfy payment processor requirements, shipping carrier rules, fraud or abuse concerns, sanctions or legal requirements, tax or regulatory obligations, or other operational or marketplace risk controls.
• FanFinds may take action proactively or in response to reports, automated signals, or third-party requirements.
• FanFinds may cooperate with law enforcement, regulators, and payment or shipping partners in connection with investigations or suspected violations.
• FanFinds is not obligated to provide advance notice before taking emergency or risk-based action where we reasonably believe it is necessary.

FanFinds is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, FanFinds disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, uninterrupted access, and error-free operation. We do not warrant that listings are accurate, users are trustworthy, items are lawful or safe, or that any transaction will be completed without dispute, loss, or delay. FanFinds does not guarantee user income, seller earnings, listing performance, or business results. FanFinds is not responsible for delays, interruptions, or failures caused by events outside our reasonable control, including carrier delays, natural disasters, outages, cyber incidents, labor actions, government actions, or third-party service failures.

To the fullest extent permitted by law, MDC Ventures LLC, FanFinds, and their officers, members, employees, contractors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, loss of goodwill, or business interruption arising out of or relating to FanFinds, even if advised of the possibility of such damages. To the fullest extent permitted by law, our aggregate liability for any claim relating to FanFinds will not exceed the greater of $100 or the total amount of platform fees FanFinds retained from the transaction giving rise to the claim during the 12 months preceding the event. Nothing in these Terms limits liability to the extent such limitation is prohibited by law.

You agree to defend, indemnify, and hold harmless MDC Ventures LLC, FanFinds, and their affiliates, managers, members, officers, employees, contractors, and service providers from and against any claims, liabilities, damages, judgments, losses, costs, and expenses, including reasonable attorneys' fees, arising out of or related to your content, listings, shipments, disputes, taxes, breach of these Terms, violation of law, infringement of third-party rights, or misuse of the platform.

Except for matters that qualify for small claims court, intellectual property claims, or claims for injunctive relief relating to misuse of the platform, you and FanFinds agree to resolve disputes arising out of or relating to FanFinds or these Terms through final and binding individual arbitration.

• Arbitration will be administered on an individual basis only. You and FanFinds waive any right to participate in a class action, class arbitration, mass arbitration, private attorney general action, or other representative proceeding to the fullest extent permitted by law.
• Arbitration will be administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. Arbitration may be conducted remotely or in a mutually agreed location.
• If any part of this class action waiver is found unenforceable as to a particular claim or request for relief, then that claim or request for relief must be severed and litigated in court, while the remaining claims remain subject to arbitration to the fullest extent permitted by law.
• You may opt out of this arbitration provision by sending written notice to legal@fanfinds.com within 30 days after first accepting these Terms. Your notice must include your full name, account email, username, and a clear statement that you wish to opt out of arbitration.

These Terms are governed by the laws of the State of Colorado, without regard to conflict-of-law principles, except that the Federal Arbitration Act governs the interpretation and enforcement of the arbitration provisions above. Unless applicable law requires otherwise, any dispute that is not subject to arbitration must be brought exclusively in the state or federal courts located in Colorado, and you consent to personal jurisdiction and venue in those courts.

FanFinds may update the platform, fees, policies, and these Terms from time to time. We will post the updated Terms with a new effective date. Your continued use of FanFinds after the effective date of revised Terms constitutes acceptance of the updated Terms. For material changes, we may require renewed acknowledgement before you continue certain account or transaction actions.

These Terms constitute the entire agreement between you and FanFinds regarding the platform and supersede any prior agreements or understandings.

FanFinds may assign or transfer these Terms in connection with a merger, acquisition, financing, or sale of assets. You may not assign these Terms without our prior written consent.
